A written agreement between an inventor and a tool maker, a software writer, a mold maker, a circuit designer, or the like whereby the parties agree before beginning work on a project that the inventor has made an invention and that the tool maker or other helper will help the inventor reduce the invention to practice by making a working model or prototype of the invention without asserting patent rights in the invention.
